These Terms of Service (“Terms”) govern your access to and use of Salesdok. Please read them carefully. By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Salesdok (“the Service”, “we”, “us”), you (“you”, “Customer”) agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that company. These Terms apply to all paid subscribers. If you do not agree, do not use the Service.

2. Description of Service

Salesdok is a SaaS platform that lets you create AI-powered voice and text sales agents backed by a custom knowledge base, and embed them on your website or commerce store. The Service relies on third-party AI providers (including Sarvam AI, Google Gemini, and Cartesia) whose availability and behaviour are outside our direct control. We may add, modify, or discontinue features with reasonable notice.

3. Eligibility & Accounts

You must be at least 18 years old and legally capable of entering into a binding contract. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@salesdok.com of any unauthorized use.

You agree to provide accurate and current information and to keep it updated. We may refuse registration, suspend, or terminate accounts at our discretion, including where we reasonably believe these Terms have been violated.

4. Subscriptions, Billing & Refunds

Paid plans are billed in advance on a recurring monthly or annual basis via Razorpay. By subscribing, you authorise recurring charges to your selected payment method until you cancel. Prices are listed on our pricing page and are exclusive of applicable taxes (GST), which will be added where required.

Cancellation. You may cancel at any time from your billing settings. Access continues until the end of the current billing period; you will not be charged for subsequent periods.

Refunds. Because the Service is delivered digitally and consumes third-party API credits the moment it is used, fees are generally non-refundable. We may, at our sole discretion, issue a pro-rated refund if the Service is materially unavailable for an extended period due to our fault. Refund requests must be made within 14 days of the charge by emailing billing@salesdok.com.

Price changes. We may change prices with at least 30 days' notice. Changes apply to the next billing cycle.

5. Acceptable Use

You agree not to, and not to permit others to:

  • Violate any applicable law, regulation, or third-party right.
  • Upload or generate content that is unlawful, infringing, hateful, sexually explicit, or harmful.
  • Use the Service to spam, deceive, or impersonate any person or entity, including by deploying the AI agent without a clear disclosure that users are interacting with AI where such disclosure is required by law.
  • Use the Service to collect data about individuals without a lawful basis to do so.
  • Interfere with, disrupt, or probe the Service, bypass rate limits, or attempt unauthorised access.
  • Reverse-engineer, scrape, or resell the Service except as expressly permitted.
  • Use the Service to develop a competing product.

We may investigate and remove content or suspend accounts that violate this section.

6. Intellectual Property & Your Content

You retain all rights in the knowledge-base content, prompts, and branding you upload (“Customer Content”). By uploading, you grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Customer Content solely to operate the Service for you. We do not use Customer Content to train our models or any third-party foundation model.

We own the Service, including its software, design, trademarks, and documentation. No rights are granted to you except as expressly set out in these Terms. Feedback you send us may be used without restriction.

7. AI-Generated Output

The Service uses generative AI, which can produce inaccurate, incomplete, or unexpected output. You are responsible for reviewing AI-generated responses before relying on them, and for ensuring any claims the agent makes about your products (pricing, availability, warranties) are correct. We make no warranty as to the accuracy of AI output. Where your jurisdiction requires disclosure that users are interacting with an AI, you must make that disclosure within your widget or page.

8. Third-Party Services

The Service integrates with third-party providers (e.g. Sarvam AI, Google Gemini, Cartesia, Razorpay). Your use of those providers through the Service is subject to their own terms. We are not responsible for outages, errors, or policy changes originating from third-party providers.

9. Privacy & Data Protection

Our collection and use of personal data is governed by our Privacy Policy. Where we process personal data on your behalf (for example, data captured by your widget), you are the data fiduciary/controller and we are the data processor, and you are responsible for ensuring you have a lawful basis to collect and share that data with us.

10. Suspension & Termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or if required by law. You may delete your account at any time from settings. On termination, your agents stop serving traffic, and your data is deleted within 30 days (except billing records retained for tax purposes). Sections that by their nature should survive (IP, disclaimers, liability, indemnity, governing law) survive termination.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR USE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ₹10,000.

13. Indemnification

You will defend, indemnify, and hold harmless Salesdok and its affiliates from any third-party claim arising out of (a) your Customer Content, (b) your use of the Service in breach of these Terms or applicable law, or (c) the products or services you promote or sell through the Service.

14. Force Majeure

Neither party is liable for failure or delay in performance due to causes beyond reasonable control, including acts of God, war, riot, pandemic, internet or power outages, denial-of-service attacks, or failure of third-party providers.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service.

16. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The parties irrevocably submit to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India. Before filing a claim, the parties will attempt good-faith resolution by written notice for 30 days.

17. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding the Service and supersede prior agreements.

Severability. If any provision is held unenforceable, the remaining provisions continue in full force.

No waiver. Failure to enforce a provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
